General
The terms and conditions of Yehuda-Tal Communication ltd for telecommunication services.
Yehuda-Tal Communication ltd and the customer (lessee) undersigned hereby agree to the following terms and conditions.
This contract is with Yehuda-Tal only and not with the "Pelephone" company, the provider of the telecommunication services (under a separate contract with Yehuda-Tal). Yehuda-Tal Communication ltd has the right to provide telecommunication services to the lessee from "Pelephone".
The lessee shall accept the cellular phone upon delivery and shall be obligated to the agreement from that day.
The laws of New York State, United States of America, the State of Israel and other relevant countries govern this agreement.
"Pelephone" Company as Third Party
- It is known and agreed that the "Pelephone" company is entitled to change, add or replace the dialing numbers, users' names, code numbers; the lessee shall have no right or interest in neither respect thereof nor license to use any kind whatsoever.
- Yehuda-Tal and Pelephone shall nor be liable for any damage which might be caused to the lessee if and when the Israeli Ministry of Communications takes action to fully or partially shut down the Pelephone network due to emergencies.
- The lessee hereby undertakes to fulfill all instructions of the Israeli Ministry of Communications or Yehuda-Tal , the terms of the license and any law that may apply and shall indemnify Yehuda-Tal and Pelephone in respect of any expenses or damage it bears as a result of the lessees failure to fulfill the provisions of this clause.
- The relations betweenYehuda-Tal and the lessee are contractual to whom Pelephone is not a party and shall not be liable for the acts or omissions of Millennium towards the lessees.
- Neither Pelephone nor Yehuda-Tal will be held responsible for any information that might be conveyed to the lessee during the lessees' use of the telecommunication services.
- Neither Pelephone nor Yehuda-Tal shall be liable for any damage resulting from the services non-availability nor do they warrant the lessee for the product and the service fitness for a particular purpose.
- The lessee shall take at his/her own risk regarding the security of the information sent by him/her while using Pelephones' services.
- Service provided via the Pelephone network in Israel to the lessee is subject to general terms and conditions of The Pelephone contract and Israeli law. The Pelephone Company is not liable for any act or omission on the part of Yehuda-Tal .
- Service provided by Pelephone may at times experience temporary interruptions for which Yehuda-Tal and Pelephone are not liable and the lessee shall not have any claim towards them for such interruptions.
Terms of Payment
- The lessee is obligated to pay Yehuda-Tal the rental charge as per the agreement from the date of delivery until the end of the rental period and return of the cellular phone(s) to Yehuda-Tal . Rates listed are per phone, unless stated otherwise.
- This paragraph is not relevant for organized groups.
Daily/monthly fees are calculated by the total number of days listed on the rental agreement. Notifying Yehuda-Tal prior to the return date agreed upon can extend the agreement.Yehuda-Tal reserves the right to add late fees of up to $4.00 per day for all cellular phones returned late and may do so to its own discretion. Lessee is entering into student agreements do so for a minimum of 3 months. Terminating the agreement prior the end of the full term will bring a charge of $150.
- The lessee is obligated to pay Yehuda-Tal for all telecommunication services and charges for all calls including but not limited to land line, long distance (international calls) cellular, voice mail, text messages and other related charges as stated in the agreement from date delivery until end of use/return of cellular phone to Yehuda-Tal .
- The lessee agrees to pay for all services and it is assumed that all services are accepted unless lessee specifies otherwise. If the lessee declines specific services, it must be stated in the agreement. If the lessees' specifications are not stated in writing upon the agreement or in a separate correspondence the lessee will have no claim.
- Yehuda-Tal may increase its rates at any time without notice, but will seek to provide the lessee with suitable notice of such changes.
- The lessee shall be billed as per the agreement for telecommunications: telephone charges in full minutes. Text messages billed per message. Billing shall be on a monthly basis for long/short term rentals. All rental charges are divided per day for monthly rental rates and based on full days for short-term rentals. Invoices will include additional charges to Yehuda-Tal's basic charge for services give by other carriers and services used by the lessee, The total invoice shall be charged and is payable by credit card on file with Yehuda-Tal , which was provided by the lessee in the rental agreement. Notwithstanding authorization to charge, Yehuda-Tal has the right to demand full payment from the lessee by any other means.
- The lessee shall be responsible for all taxes (including but not exclusive to the US, Israel, and other relevant countries), and fees relating to the telecommunication rentals and services. This amount being added to the lessees invoice and charged to the lessee's credit card.
- The lessee shall deposit with Yehuda-Tal the amount indicated in the agreement. The lessee will be reimbursed at the end of the rental period, provided that all charges have been paid and that the equipment has been returned to Yehuda-Tal undamaged. During the rental period, Yehuda-Tal at its own discretion retains the right to employ the deposit.
The Use of The Equipment by The Lessee
With delivery of the equipment the lessee is committed to use the equipment in the proper manner in accordance with the instructions provided and agrees not to:
- Allow any third party to use the equipment
- Sell or sublet the equipment to any third party
Repair or modify the equipment which is sole property of Yehuda-Tal
- Remove, add or deface the equipment
- Knowingly damage or dispose of the equipment
- Attempt to unlock authorization codes or reprogram the equipment which may cause damage to the equipment.
Disconnect Service
At their own discretion Yehuda-Tal and Pelephone reserve the right to notify and cancel the service to the lessee and disconnect service for any reason, including possible fraud. If the lessee fails to make payment, violates or is in breach of any part of this agreement, the general Pelephone agreement or the Israeli law, service can be terminated without notice. After any disconnect applicable reconnect fees will apply.
Service Repair & Loss
- Yehuda-Tal shall provide the lessee cellular phones and telecommunications services for use in Israel as written in the agreement. The services include all services on the Pelephone network.
- If service or repair is required for the equipment provided in the agreement, the lessee shall immediately notify Yehuda-Tal for service. If Yehuda-Tal refers the lessee to Yehuda-Tal's service center, the lessee shall deliver the equipment for repair. Repair or replacement of equipment will be determined by Yehuda-Tal , as long as the lessee is not in breach of the agreement. The repair and warranty shall be in effect only for normal malfunctions and not for damage caused by the lessee due to neglect, or misuse in which case the lessee shall be responsible for repair costs.
- In case of loss or theft of equipment, the lessee shall immediately notify Yehuda-Tal . The lessee shall be liable for all charges to the telephone unit, until disconnected by Yehuda-Tal , further to the lessees notice of loss or theft (The insurance and deductible payment covers the phone itself and does not cover any services or call used before return or disconnection of the phone).
- Replacement of the equipment due to loss, theft or damage may require a deductible payment and that while waiting for service or repair Millennium or Pelephone have no obligation to the lessee, or self-participant fees only, if insurance fee was paid.
- Yehuda-Tal retains its rights of ownership of the equipment and the lessees rights are for the rental period only as per agreement. The lessee is responsible for damage or loss of the equipment or accessories and shall pay the retail price for such loss.
General Notice
- Yehuda-Tal is not liable against claims such as loss, injury, liability, charges caused by termination of agreement, possession, equipment, operation of equipment, service of the telecommunication services, which is the subject of this agreement.
- Yehuda-Tal will make every effort to supply the lessee the invoice as per agreement. However, Yehuda-Tal is not responsible for undelivered or returned mail or e-mails, illegible applications or any other reason for failure of delivery of the invoice. The lessee is responsible to pay the bill and holds no claim for non payment on account of not receiving the invoice.
- The lessee is responsible for all phone services, rentals and telecommunication charges during the rental agreement period, whether or not the lessee is the user of the service or if the phone was used or not. All charges are for the full period of the agreement; with Yehuda-Tal being able to bill the lessee on a delayed basis after the equipment has been returned to Yehuda-Tal , or for any charges incurred before the return of the equipment.
- Yehuda-Tal is not responsible to calls made to outside carriers, where calls may be dropped or interrupted. The lessee waives rights to claims where the destination is a third party carrier, other than those specifically offered through Yehuda-Tal .
- The lessee shall pay Yehuda-Tal all expenses including but not limited to attorneys fees, court costs, collection costs incurred by Yehuda-Tal for any action to enforce its rights under this agreement.
- The lessee waives all privacy rights regarding all information by Pelephone and Yehuda-Tal in regards the use of the phone, including but not limited to the calls, internet, telecommunication services and payments by the lessee. Yehuda-Tal and Pelephone may use this information in any database they choose.
